  3. After successful verification, SEBI-registered UPI / QR code is shared for payment based on selected service.
  4. Upon payment confirmation, access is provided to the official Telegram channel for research updates.
Important: No payment is accepted without document verification and explicit client consent.

Most Important Terms and Conditions (MITC)

[Forming part of the Terms and Conditions for providing research services]

  1. These terms and conditions, and consent thereon are for the research services provided by the Research Analyst (RA) and RA cannot execute/carry out any trade (purchase/sell transaction) on behalf of, the client. Thus, the clients are advised not to permit RA to execute any trade on their behalf.
  2. The fee charged by RA to the client will be subject to the maximum of amount prescribed by SEBI/ Research Analyst Administration and Supervisory Body (RAASB) from time to time (applicable only for Individual and HUF Clients).Note:
    1. 2.1. The current fee limit is Rs 1,51,000/- per annum per family of client for all research services of the RA.
    2. 2.2. The fee limit does not include statutory charges.
    3. 2.3. The fee limits do not apply to a non-individual client / accredited investor.
  3. RA may charge fees in advance if agreed by the client. Such advance shall not exceed the period stipulated by SEBI; presently it is one quarter. In case of pre-mature termination of the RA services by either the client or the RA, the client shall be entitled to seek refund of proportionate fees only for unexpired period.
  4. Fees to RA may be paid by the client through any of the specified modes like cheque, online bank transfer, UPI, etc. Cash payment is not allowed. Optionally the client can make payments through Centralized Fee Collection Mechanism (CeFCoM) managed by BSE Limited (i.e. currently recognized RAASB).
  5. The RA is required to abide by the applicable regulations/ circulars/ directions specified by SEBI and RAASB from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. The RA will endeavor to promptly inform the client of any conflict of interest that may affect the services being rendered to the client.
  6. Any assured/guaranteed/fixed returns schemes or any other schemes of similar nature are prohibited by law. No scheme of this nature shall be offered to the client by the RA.
  7. The RA cannot guarantee returns, profits, accuracy, or risk-free investments from the use of the RA’s research services. All opinions, projections, estimates of the RA are based on the analysis of available data under certain assumptions as of the date of preparation/publication of research report.
  8. Any investment made based on recommendations in research reports are subject to market risks, and recommendations do not provide any assurance of returns. There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report. Any reliance placed on the research report provided by the RA shall be as per the client’s own judgement and assessment of the conclusions contained in the research report.
  9. The SEBI registration, Enlistment with RAASB, and NISM certification do not guarantee the performance of the RA or assure any returns to the client.
  10. For any grievances, Step 1: the client should first contact the RA using the details on its website or following contact details: (RA to provide details as per ‘Grievance Redressal / Escalation Matrix’) Step 2: If the resolution is unsatisfactory, the client can also lodge grievances through SEBI’s SCORES platform at www.scores.sebi.gov.in Step 3: The client may also consider the Online Dispute Resolution (ODR) through the Smart ODR portal at https://smartodr.in
  11. Clients are required to keep contact details, including email id and mobile number/s updated with the RA at all times.
  12. The RA shall never ask for the client’s login credentials and OTPs for the client’s Trading Account Demat Account and Bank Account. Never share such information with anyone including RA.

  • To publish research report based on the research activities of the RA
  • To provide an independent unbiased view on securities.
  • To offer unbiased recommendation, disclosing the financial interests in recommended securities.
  • To provide research recommendation, based on analysis of publicly available information and known observations.
  • To conduct audit annually
  • To ensure that all advertisements are in adherence to the provisions of the Advertisement Code for Research Analysts.
  • To maintain records of interactions, with all clients including prospective clients (prior to onboarding), where any conversation related to the research services has taken place.

C. Details of services provided to investors (No Indicative Timelines)

    • Sharing of terms and conditions of research services

  • Disclosure to Clients:
    • To disclose, information that is material for the client to make an informed decision, including details of its business activity, disciplinary history, the terms and conditions of research services, details of associates, risks and conflicts of interest, if any
    • To disclose the extent of use of Artificial Intelligence tools in providing research services
    • To disclose, while distributing a third party research report, any material conflict of interest of such third party research provider or provide web address that directs a recipient to the relevant disclosures
    • To disclose any conflict of interest of the activities of providing research services with other activities of the research analyst.
  • To distribute research reports and recommendations to the clients without discrimination.
  • To maintain confidentiality w.r.t publication of the research report until made available in the public domain.
  • To respect data privacy rights of clients and take measures to protect unauthorized use of their confidential information
  • To disclose the timelines for the services provided by the research analyst to clients and ensure adherence to the said timelines
  • To provide clear guidance and adequate caution notice to clients when providing recommendations for dealing in complex and high-risk financial products/services
  • To treat all clients with honesty and integrity
  • To ensure confidentiality of information shared by clients unless such information is required to be provided in furtherance of discharging legal obligations or a client has provided specific consent to share such information.

D. Details of grievance redressal mechanism and how to access it

  1. Investor can lodge complaint/grievance against Research Analyst in the following ways:

    Mode of filing the complaint with research analyst

    In case of any grievance / complaint, an investor may approach the concerned Research Analyst who shall strive to redress the grievance immediately, but not later than 21 days of the receipt of the grievance.

    Mode of filing the complaint on SCORES or with Research Analyst Administration and Supervisory Body (RAASB)

    1. SCORES 2.0 (a web based centralized grievance redressal system of SEBI for facilitating effective grievance redressal in time-bound manner) (https://scores.sebi.gov.in)

  4. Always pay attention towards disclosures made in the research reports before investing.
  5. Pay your Research Analyst through banking channels only and maintain duly signed receipts mentioning the details of your payments. You may make payment of fees through Centralized Fee Collection Mechanism (CeFCoM) of RAASB if research analyst has opted for the mechanism. (Applicable for feepaying clients only)
  6. Before buying/ selling securities or applying in public offer, check for the research recommendation provided by your Research Analyst.
  7. Ask all relevant questions and clear your doubts with your Research Analyst before acting on recommendation.
  8. Seek clarifications and guidance on research recommendations from your Research Analyst, especially if it involves complex and high risk financial products and services.
  9. Always be aware that you have the right to stop availing the service of a Research Analyst as per the terms of service agreed between you and your Research Analyst.
  10. Always be aware that you have the right to provide feedback to your Research Analyst in respect of the services received.
  11. Always be aware that you will not be bound by any clause, prescribed by the research analyst, which is contravening any regulatory provisions.
  12. Inform SEBI about Research Analyst offering assured or guaranteed returns.

Don’ts

  1. Do not provide funds for investment to the Research Analyst.
  2. Don’t fall prey to luring advertisements or market rumors.
  3. Do not get attracted to limited period discount or other incentive, gifts, etc. offered by Research Analyst.
  4. Do not share login credential and password of your trading, demat or bank accounts with the Research Analyst.

1. Scope of Services

Vipin Sharma Research provides research and recommendation services in accordance with SEBI (Research Analysts) Regulations, 2014. Recommendations shall be communicated through official channels designated by the Research Analyst from time to time.

2. Eligibility

Services are available only to persons legally competent to enter into contracts under applicable laws.

3. Client Onboarding and KYC

Services are offered only after accepting The RA’s Disclosure Document, (MITS), Refund Policy and Terms & Condition etc. Any KYC document found to be fraudulent may lead to termination without refund.

4. Termination of Services

The RA reserve the right to suspend or terminate services in case of misuse of research material, policy violations, submission of fraudulent information, or regulatory non-compliance.

5. Recommendation Usage

All research reports, advice, or recommendations are provided exclusively for The RA’s paid clients and intended solely for personal use. Unauthorized sharing, forwarding, or distribution is strictly prohibited and may result in legal action.

6. No Execution Services

The RA does not execute trades or manage portfolios on behalf of clients. The RA’s role is limited to providing research and analysis. Clients must use their discretion and consult with their financial advisor or broker for investment decisions.

7. Limitations on Services

The RA does not offer profit-sharing, guaranteed returns, portfolio management, or brokerage services.

8. Fees and Refund Policy

Fees charged for The RA’s services are strictly for research purposes and are non-refundable, except as specified under The RA’s Refund Policy. Clients are encouraged to review The RA’s Terms and Conditions for details.

9. No Responsibility for Losses

The RA shall not be held responsible for any direct or indirect loss incurred by clients based on The RA’s recommendations, analysis, or any other services offered.

10. Communication Policy

The RA may contact clients via calls, SMS, or email in response to service inquiries or requests. However, unsolicited offers or guarantees should be disregarded and reported.

11. Report Misuse

If you encounter any unauthorized use of The RA’s name or services, or receive fraudulent calls, emails, or messages, please report them immediately to the RA and SEBI.

12. Jurisdiction

All disputes, claims, or legal proceedings arising out of or in connection with the services provided shall be subject to the exclusive jurisdiction of the competent courts at Lucknow, Uttar Pradesh.

2. No Guaranteed Returns

The RA does not assure or guarantee any fixed, assured, or guaranteed returns on investments. Registration granted by SEBI, membership of BSE and certification from NISM in no way guarantee performance of the intermediary or provide any assurance of returns to investors.

3. Risk Disclosure

4. No Disciplinary Action

5. No Compensation from Companies

The RA does not receive any compensation, directly or indirectly, from the companies whose securities are recommended.

6. Conflict of Interest Disclosure

The RA declare that neither RA nor its associates have any material conflict of interest, financial interest, or association as promoter, market maker, or merchant banker in the securities recommended, unless specifically disclosed. Any actual or potential conflict of interest shall be disclosed in accordance with applicable SEBI regulations. Recommendations are unbiased and based on publicly available information and thorough analysis.

Refund Policy

Effective Date: [09th Oct 2024] Applies To: Paid clients of Vipin Sharma (SEBI Registered Research Analyst – INH000018540)

1. Cases Where Refund Will NOT Be Provided

A client shall not be entitled to any refund in the following circumstances:

a. Services Rendered as Described

No refund shall be applicable if the Research Analyst has delivered services as per agreed terms and the client is dissatisfied without any breach or deficiency in service.

b. Inability to Provide Services Due to Uncontrollable Circumstances

If service delivery is affected due to technical issues, operational failures, or factors beyond the RA’s control, no refund shall be provided. However, the service period may be extended at the sole discretion of the RA, if disruption exceeds 10 continuous days.

c. Force Majeure Events

No refund will be granted if service disruption arises from events beyond control—such as natural disasters, pandemics, or regulatory restrictions—as long as such exclusions are included in the service agreement.

d. Completion of Subscription Period

No refund shall be provided if the client has completed the full subscription term, regardless of usage.

e. Partially Utilized Services Without Formal Termination

If the client stops availing services without formally requesting termination, no refund is due. A written notice, including the reason for termination, must be submitted at least 10 days in advance to initiate the client deboarding process.

f. Partial Month Usage

Refunds will be provided only for fully unutilized months. Example: If a client subscribes on 1st Feb 2025 for 3 months and terminates on 10th March, no refund for March will be given. Only April will be considered for refund.

g. Market Losses or Dissatisfaction with Results

Refunds cannot be claimed due to losses, poor returns, or adverse market conditions. The RA does not guarantee any profit.

h. Breach of Terms & Misuse

No refund shall be given if:
  • The client misuses research reports
  • Provides fraudulent KYC
  • Violates SEBI rules or terms & conditions

i. No Free Trials Offered

In accordance with SEBI RA Regulations and Code of Conduct, we do not offer free trials or demo services of any kind.

j. Regulatory Non-Compliance by Client

No refund will be granted if the client is found in breach of SEBI guidelines or misuses reports in unauthorized ways (e.g., sharing on public platforms).

k. Voluntary Opt-Out Without Reason

If the client exits the services voluntarily without valid justification and documentation, no refund shall be entertained.

l. Non-Refundable Charges

Fees such as onboarding charges, administrative fees, or documentation costs, if specifically marked as non-refundable, will not be refunded.

2. Cases Where Refund Will Be Provided

Clients shall be entiled to a pro-rata refund under the following conditons:

a. Pre-Mature Termination by Client

If the client discontinues the subscription before the expiry of the agreed period—and provided it doesn’t fall under the non-refundable cases above—a refund will be made for the unexpired period (full months only).

b. Pre-Mature Termination by RA

If the Research Analyst discontinues services before the subscription period ends, the client will be refunded for the unexpired period on a pro-rata basis.

c. Regulatory Action Against RA

If SEBI or RAASB suspends or cancels the RA’s registration, clients will be automatically refunded the balance unutilized amount without the restrictions mentioned in section 1(e) and 1(f).

d. Double Payment / Overcharge

In the event of double billing or fee charged beyond the SEBI-mandated cap (₹1,51,000 per annum per family), the excess amount shall be refunded.

e. Centralized Fee Collection (CeFCoM) Refunds

If the client opts for CeFCoM and later cancels, the refund will be processed through the CeFCoM mechanism in line with SEBI protocols.

3. Refund Request & Processing Terms

  • Written Request: Refunds must be requested via email or other official communication mode, with valid reasoning.
  • Timeline: Refunds will be processed within 30 calendar days of approval.
  • Mode of Refund: Refunds will be made to the original payment method (e.g., UPI, Bank Transfer). Cash refunds are not permitted.
  • Documentation: Clients must cooperate in providing documents requested for refund processing.

The final assessment reviewed the public-facing webpage at https://vipinsharmaresearch.com/.

Remediation and Verification Status

Accessibility observations identified during the initial assessment and user usability testing were addressed and included in the final post-remediation verification. The final audit recorded 43 applicable WCAG 2.2 Level A and Level AA success criteria as supported, with no criteria recorded as partially supported or not supported. Thirteen criteria were determined not to be applicable to the website content and functionality reviewed.
